01
About these terms
These terms apply to the website operated by [Legal name / trading name] and to professional services agreed with a client. By using the site, you agree to the website-use provisions. Services begin only when both parties accept a written proposal, statement of work or other agreement.
02
Business information
Service provider: [Legal name]. Trading name: [Trading name]. Address: [Business address]. Email: [Contact email]. Registration and VAT details: [Registration number and VAT number, if applicable].
03
Services
Services may include AI engineering, product development, automation, consulting, design and related support. The exact scope, deliverables, timetable, dependencies and acceptance criteria are defined in the applicable written proposal or statement of work.
04
Proposals and contract formation
A quotation or proposal is valid for the period stated in it and does not create a contract until accepted in writing. If these terms conflict with a signed client agreement, the signed agreement takes priority for that engagement.
05
Fees, taxes and payment
Fees, currency, taxes, expenses, invoicing schedule and payment deadlines are stated in the proposal. Unless agreed otherwise, invoices are payable within [number] days. Late-payment charges apply only where permitted by applicable law and must be specified before the contract is formed.
06
Client responsibilities
The client must provide timely access to information, systems, personnel, approvals and lawful source materials needed for the work. Delays or incomplete instructions may affect delivery dates and fees. The client remains responsible for decisions made using the deliverables.
07
Delivery, revisions and acceptance
Delivery dates are estimates unless expressly agreed as binding. Included revision rounds and the acceptance process are stated in the proposal. Requests outside the agreed scope may require a revised schedule and additional fees approved in advance.
08
Intellectual property
Each party keeps ownership of materials it owned before the engagement. Ownership or licence terms for new deliverables are stated in the proposal and may depend on full payment. Third-party software, models, fonts, media and open-source materials remain subject to their own licences.
09
Confidentiality
Each party will use reasonable care to protect confidential information received from the other and will use it only for the engagement. This obligation does not cover information that is public, lawfully received from another source or independently developed.
10
Third-party services and AI systems
Deliverables may rely on hosting providers, APIs, datasets, AI models or other third-party services. Their availability, pricing and terms can change. AI-assisted outputs can contain errors and must be reviewed by a qualified human before high-impact, regulated or safety-critical use.
11
Warranties and liability
Services will be performed with reasonable skill and care. No outcome, revenue, ranking, model accuracy or uninterrupted availability is guaranteed unless expressly stated in writing. Any limitation of liability must comply with mandatory law and cannot exclude liability that the law does not allow to be excluded.
12
Suspension and termination
Either party may terminate as set out in the proposal or applicable law. Work may be suspended for material non-payment or a serious breach after reasonable notice where required. The client must pay for work completed and approved non-cancellable costs up to termination.
13
Consumer rights
If you contract as a consumer, mandatory consumer protections continue to apply. Before an online consumer sale, the trader must provide clear information about identity, price, performance, duration, cancellation rights and dispute options where applicable. Replace this section with advice specific to the countries you serve.
14
Governing law, disputes and contact
These terms are governed by the law of [Country / jurisdiction], subject to any mandatory consumer rights. The parties should first try to resolve concerns in good faith. Questions or complaints can be sent to [Contact email] at [Business address].
